Terms of Service

Welcome to Ohh! These Terms of Service ("Terms") govern your use of the Ohh mobile application ("App") and related services (collectively, the "Service") operated by Zemio Labs Ltd ("Company," "we," "us," or "our"), a company registered in England and Wales. Ohh is a product of Zemio Labs Ltd.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY DOWNLOADING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Eligibility

1.1 Age Requirement

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years of age. If we discover or have reason to believe that you are under 16, we will immediately terminate your account.

1.2 Legal Capacity

You must have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you have the authority to bind yourself to these Terms.

1.3 Account Restrictions

You may not use the Service if you have been previously suspended or removed from the Service, if you are prohibited from using the Service under applicable law, or if you have been convicted of a criminal offence involving harm to another person.

2. Account Registration and Security

2.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. Providing false or misleading information is grounds for immediate account termination.

2.2 Device-Based Authentication

Our Service uses device-based authentication for enhanced privacy. You are responsible for maintaining the security of your device and any access credentials. We are not responsible for any loss or damage arising from your failure to maintain the security of your account or device.

2.3 Account Security

You are solely responsible for all activities that occur under your account, whether or not authorized by you. You must immediately notify us at support@ohh.world of any unauthorized use of your account or any other breach of security. Zemio Labs Ltd will not be liable for any loss or damage arising from unauthorized access to your account.

2.4 One Account Per User

Each user may maintain only one active account. Creating multiple accounts for any purpose, including but not limited to circumventing restrictions, is a violation of these Terms and may result in permanent suspension of all associated accounts.

3. User Content and Conduct

3.1 User Content

"User Content" means any content you submit, post, or transmit through the Service, including but not limited to your profile information, messages, responses to conversation cards, and any other content.

3.2 License Grant

By submitting User Content, you grant Zemio Labs Ltd a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content for the purpose of operating, improving, and promoting the Service. This license continues even after you delete your content or account to the extent your content has been shared with other users, cached in backups, or incorporated into aggregated or anonymized data.

3.3 Content Ownership

You retain ownership of your User Content. However, by posting User Content, you represent and warrant that you own the content or have the necessary rights and permissions to grant the license described above, and that your content does not infringe the intellectual property rights of any third party.

3.4 Content Representations

You represent and warrant that all User Content you submit:

• Is accurate and not misleading
• Does not violate any applicable law, regulation, or these Terms
• Does not infringe the rights of any third party
• Is not defamatory, obscene, or otherwise objectionable

3.5 Prohibited Content

You agree not to submit User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
• Contains software viruses, malware, or any other malicious code
• Impersonates any person or entity or misrepresents your affiliation with any person or entity
• Constitutes spam, phishing, or unauthorized advertising or solicitation
• Violates the privacy or publicity rights of any third party
• Is harmful to minors in any way or exploits children
• Promotes illegal activities, violence, or self-harm
• Contains sexual or explicit content
• Promotes discrimination, hatred, or intolerance based on race, gender, religion, nationality, disability, sexual orientation, or age
• Contains personal or identifying information about other individuals without their consent

3.6 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Harass, bully, intimidate, stalk, or threaten other users
• Use the Service to send unsolicited communications or spam
• Attempt to gain unauthorized access to the Service, other users' accounts, or related systems
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use automated means (bots, scrapers, crawlers) to access, interact with, or extract data from the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Create multiple accounts for deceptive, abusive, or fraudulent purposes
• Use the Service to collect or harvest user information without consent
• Circumvent, disable, or otherwise interfere with any security features of the Service
• Use the Service to promote competing products or services
• Sublicense, sell, resell, transfer, or distribute any part of the Service

3.7 Content Moderation

We reserve the right, but are not obligated, to monitor, review, edit, and remove User Content at our sole discretion, without notice, for any reason, including if we believe the content violates these Terms or is otherwise harmful. We have no obligation to store, maintain, or provide you with copies of User Content. Our decision to remove or retain content is final and not subject to appeal.

3.8 Reporting

If you encounter content or behavior that violates these Terms, you may report it to us at support@ohh.world or through the in-app reporting feature. We will review reports at our sole discretion and are under no obligation to take any specific action or provide you with updates on the outcome of any report.

4. Connections and Interactions

4.1 User Connections

The Service allows you to connect with other users through Sparks (1:1) and Circles (groups of 3 to 8). You are solely responsible for your interactions with other users, both online and offline.

4.2 No Guarantee of Interactions

We do not guarantee that you will make any connections or have any specific interactions through the Service. The quality, safety, and legality of interactions are entirely the responsibility of the participating users.

4.3 User Responsibility and Assumption of Risk

YOU ACKNOWLEDGE THAT NEITHER ZEMIO LABS LTD NOR OHH IS RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU AGREE TO USE CAUTION AND GOOD JUDGMENT IN ALL INTERACTIONS WITH OTHER USERS. YOU ASSUME ALL RISK WHEN USING THE SERVICE TO COMMUNICATE WITH OTHER USERS.

4.4 No Background Checks

WE DO NOT CONDUCT BACKGROUND CHECKS, IDENTITY VERIFICATION, OR CRIMINAL RECORD CHECKS ON USERS. WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.

5. Subscriptions and Payments

5.1 Free and Pro Plans

The Service offers a free plan with limited features and Pro subscription plans that provide access to all available decks, unlimited friends, Circles, and premium themes. Details of subscription plans and pricing are available within the App and are subject to change at our discretion.

5.2 Billing

If you purchase a Pro subscription, you agree to pay all applicable fees. Payments are processed through the Apple App Store, and Apple's payment terms and conditions apply. We are not responsible for any errors or issues with payment processing by Apple.

5.3 Auto-Renewal

Pro subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. You can manage and cancel your subscription through your device's App Store settings. It is your sole responsibility to manage your subscription and ensure timely cancellation if you do not wish to renew.

5.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of the next subscription period after the change. Your continued use of the Service after a price change constitutes acceptance of the new price.

5.5 Refunds

Refunds are handled according to the policies of the Apple App Store. We do not provide direct refunds except as required by applicable law. No refund will be issued for partial subscription periods, unused features, or account termination due to violation of these Terms.

5.6 Free Trial

We may offer free trial periods at our discretion. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged. Free trials are limited to one per user and per device.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its entire contents, features, functionality, and underlying technology (including but not limited to all software, code, databases, designs, text, graphics, conversation card content, deck themes, visual designs, animations, user interface, and mascot characters including Pip and Pop) are and will remain the exclusive property of Zemio Labs Ltd and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United Kingdom and international jurisdictions.

6.2 Limited License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to modify, reproduce, distribute, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Service, except as incidental to normal use of the Service.

6.3 Trademarks

"Ohh," the Ohh logo, "Sparks," "Circles," "Pip," "Pop," and all related names, logos, mascots, and designs are trademarks of Zemio Labs Ltd. You may not use these trademarks without our prior written permission. Any unauthorized use may constitute a violation of trademark law.

6.4 Conversation Card Content

All conversation card questions, deck categories, card text, and related content are proprietary to Zemio Labs Ltd and constitute valuable trade secrets. You may not reproduce, distribute, screenshot for public sharing, create derivative works from, or commercially exploit our card content without express written permission. Violation of this provision may result in legal action.

6.5 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you assign to Zemio Labs Ltd all rights in the Feedback and agree that we may use it without restriction or compensation to you.

7. Disclaimers

7.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

7.2 No Guarantee

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of any information obtained through the Service will meet your expectations
• Any errors in the Service will be corrected in a timely manner
• The Service will be available at all times or in all locations
• The Service will be compatible with all devices or operating systems

7.3 Not Professional Advice

The Service is designed for social connection and entertainment purposes only. Conversation card content does not constitute professional, therapeutic, medical, psychological, legal, or financial advice. You should not rely on the Service as a substitute for professional consultation. Any reliance on the Service is at your own risk.

7.4 Third-Party Content

The Service may display content from other users. We do not endorse, guarantee the accuracy of, or assume responsibility for any User Content. Your interactions with other users and any reliance on User Content are entirely at your own risk.

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEMIO LABS LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

• Your use of or inability to use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access to, use of, or alteration of your content or data
• Any interruption, suspension, or termination of the Service
• Any bugs, viruses, or other harmful components transmitted through the Service
• Any errors, inaccuracies, or omissions in the Service or content

8.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ZEMIO LABS LTD TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

8.3 Basis of the Bargain

The limitations and exclusions in this section form an essential basis of the agreement between you and Zemio Labs Ltd. Zemio Labs Ltd would not be able to offer the Service on an economically reasonable basis without these limitations.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zemio Labs Ltd and its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including without limitation reasonable legal fees and court costs) arising out of or in any way connected with:

• Your access to or use of Ohh and the Service
• Your User Content or any content you submit through the Service
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Your interactions with other users, whether online or offline
• Any dispute between you and another user of the Service
• Any misrepresentation made by you

This indemnification obligation will survive termination of your account and these Terms.

10. Termination

10.1 Termination by You

You may terminate your account at any time by deleting your account through the App settings or by contacting us at support@ohh.world. Termination does not entitle you to a refund of any subscription fees already paid.

10.2 Termination by Us

Zemio Labs Ltd may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason at our sole discretion, including but not limited to if you breach these Terms, engage in prohibited conduct, or if we discontinue the Service. We are not required to provide a reason for termination.

10.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We will delete your account and User Content within 30 days, subject to our data retention requirements
• Any active subscription will not be refunded for the remaining billing period
• All licenses granted to you under these Terms will immediately terminate
• All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

11.2 Mandatory Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@ohh.world with a detailed description of the issue. We will attempt to resolve the dispute informally within 60 days. You may not commence any legal action until this informal resolution period has expired.

11.3 Jurisdiction

Any disputes arising from these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably submit to the exclusive jurisdiction of these courts and waive any objection to such jurisdiction.

11.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST ZEMIO LABS LTD.

11.5 Limitation on Claims

Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arose, or the claim is permanently barred.

12. Service Availability and Modifications

12.1 Service Availability

We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time without notice to you.

12.2 Feature Changes

We may add, modify, or remove features of the Service at any time without notice. We are under no obligation to maintain any particular feature, and you have no right to the continued availability of any specific functionality.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zemio Labs Ltd regarding the Service and supersede all prior agreements, understandings, and representations.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms at any time will not be considered a waiver of those rights. Any waiver must be in writing and signed by Zemio Labs Ltd to be effective.

13.4 Assignment

You may not assign, transfer, or sublicense these Terms or your rights under these Terms without our prior written consent. Zemio Labs Ltd may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure

Zemio Labs Ltd shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, government action, power failure, internet disruption, or third-party service outages.

13.6 Apple App Store

You acknowledge and agree that these Terms are between you and Zemio Labs Ltd only, and not with Apple Inc. ("Apple"). Zemio Labs Ltd, not Apple, is solely responsible for the App and its content. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. To the maximum extent permitted by applicable law, Apple will have no warranty obligation whatsoever with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App, including but not limited to product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Zemio Labs Ltd, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

13.7 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. For significant changes, we may also send an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service.
